Welcome to Northern Automations. These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Services Provided

Northern Automations specializes in providing cutting-edge AI automation, social media marketing, and custom website development solutions.

• AI Automation: Design, development, and integration of AI agents, workflows, and automated pipeline solutions.
• Social Media Marketing: Brand strategy, campaigns, content creation, and analytics tracking.
• Website Development: Designing, building, hosting optimization, and maintenance of high-performance web applications.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.

2. Client Cooperation & Responsibilities

To ensure the successful delivery of our Services, you agree to:

• Provide accurate, complete, and timely information and materials as required.
• Maintain the confidentiality of any access credentials, API keys, or accounts created during project delivery.
• Use the developed systems and tools in compliance with all applicable local, provincial, national, and international laws and regulations.

3. Fees, Invoicing & Payments

Pricing and payment schedules for customized projects (such as website development and custom automation setups) will be detailed in a separate Statement of Work (SOW) or Service Agreement.

• All invoices are due upon receipt unless specified otherwise in your agreement.
• Late payments may result in the temporary suspension of services or project delivery.
• Refund policies, if any, will be explicitly defined in your specific client agreement.

4. Intellectual Property

Unless otherwise agreed in writing in your SOW:

• Our Proprietary Materials: We retain all rights, title, and interest in our pre-existing software, frameworks, templates, and methodologies.
• Deliverables: Upon full payment of all outstanding invoices, ownership of custom-developed code, graphics, and specific assets delivered to you will transfer to the client.
• Feedback: Any feedback, suggestions, or feature requests you provide regarding our services may be used by us without restriction or compensation.

5. Third-Party Integrations & API Terms

Our automated solutions and web projects often integrate third-party platforms (e.g., OpenAI, Supabase, social media platforms, hosting providers). You acknowledge that your use of these integrations is also subject to their respective terms and conditions. Northern Automations is not responsible for any changes, downtime, pricing updates, or service disruptions caused by these third-party providers.

6. Limitation of Liability

To the maximum extent permitted by law, Northern Automations, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of (or inability to access or use) the Services; (ii) any conduct or content of any third party; or (iii) unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification

You agree to defend, indemnify, and hold harmless Northern Automations and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your user content and any use of the Services' content, services, and products other than as expressly authorized in these Terms.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Toronto, Ontario, Canada.

9. Changes to Terms

We reserve the right to revise and update these Terms at any time. We will post the revised Terms on this page and update the "Last Updated" date. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
